Verdatum terms of service

These terms govern your use of the Verdatum website and the Verdatum service. They are written to be checked: where a promise has a boundary, the boundary is stated. By using the website or the service you accept these terms.
Who we are
Verdatum is a trading name of The Coln Group Ltd, a company registered in England and Wales (company number 09788225, registered office 3rd Floor, 86–90 Paul Street, London, EC2A 4NE). These terms are an agreement between you and The Coln Group Ltd.

What these terms cover
These terms cover two things:
- the website at verdatum.ai, which anyone may read
- the service: the hosted Verdatum tools that connect AI agents to source-backed company intelligence, reached through an AI assistant that supports the Model Context Protocol (MCP)
If your organisation has a signed agreement with The Coln Group Ltd, that agreement prevails over these terms wherever the two conflict. These terms fill the gaps; they do not override what your organisation negotiated.
How we handle personal data is a separate document: the privacy policy. It forms part of these terms.
The service is for organisations
Verdatum is a business-to-business service. Access is contracted at organisation level; there are no individual consumer accounts. You may use the service only if a contracted organisation has authorised you, and by using it you confirm that you act with that organisation's authority.
The service is not directed at children.
Access and your responsibilities
You connect to the service through an AI assistant using credentials verified by our authentication provider. You are responsible for:
- keeping your sign-in credentials secure and not sharing them
- everything done through your access, including requests your AI assistant makes on your behalf — a request made by an agent connected with your credentials is your use
- telling your organisation's administrator and us promptly if you believe your access has been compromised
Your organisation is responsible for who it authorises and for its users' compliance with these terms.
Acceptable use
Do not:
- access or attempt to access the service without a current entitlement, or beyond the entitlement your organisation holds
- circumvent, or attempt to circumvent, authentication, rate limits or other technical controls
- probe, scan or test the service for vulnerabilities, except under a security testing agreement with us in writing — to report a suspected vulnerability, follow the support policy
- place load on the service that is designed to, or recklessly does, degrade it for others
- systematically extract answers to build or populate a product or dataset that substitutes for the service
- remove source references, limitations or usage notes from answers when you pass them on
- use the website or service for anything unlawful, including unlawful processing of personal data contained in answers
Answers can include personal data that public registers publish by law. Once an answer reaches you, your organisation is responsible for its own downstream use of that data, as the privacy policy explains.
Third-party data sources
Verdatum builds answers from third-party sources: public company registers, regulatory filing systems and licensed data providers. Every answer carries its source references. Three consequences follow:
- Attribution travels with the data. Where a source requires attribution or carries usage conditions, the answer says so. Keep those references and notices with the data when you store or share it.
- Some sources impose their own limits. Licensed providers — market data in particular — may restrict redistribution of their data beyond your organisation. Any source-specific limits that apply to your use are stated in the answer's usage notes or in your organisation's contract.
- Sources are independent of us. The registers and providers publish and license their records under their own terms. We do not control their content, availability or correction processes. If a register's record is wrong, the correction route is the register itself.
What answers are, and are not
Verdatum relays source-backed data. It does not produce advice.
- Answers are not financial, investment, legal, tax or accounting advice, and no advisory relationship is created by using the service.
- Accuracy follows the source. An answer faithfully reports what the cited register, filing or provider said at the time of the request; it does not warrant that the underlying record is correct, complete or current.
- Where the service states a limitation — coverage gaps, delayed data, extraction caveats — that limitation is part of the answer. Decisions that matter should be checked against the cited source.
Availability and changes to the service
We aim to keep the service available and we operate it with reasonable skill and care, but we do not promise uninterrupted availability under these terms. Any service levels your organisation has agreed are in its contract.
The service is evolving. We may add, change or withdraw features. Material changes that reduce what a contracted organisation receives are notified to it before they take effect.
Intellectual property
The website, the service and the software behind them belong to The Coln Group Ltd or its licensors. We claim no ownership of public register records, and none of your questions — which, as the privacy policy explains, we do not store unless your organisation has contracted for an audit trail.
You may use answers within your organisation for its own business purposes, subject to the source conditions above. These terms grant no right to resell the service or offer it to third parties.
Suspension and termination
We may suspend or withdraw access where reasonably necessary to protect the service or comply with law, including for: a security incident, suspected breach of these terms, action required by a data source or by law, or expiry of your organisation's contract. Where the cause is a suspected breach and it is practical to do so, we contact your organisation before or promptly after suspending.
When access ends, the conditions attached to data you already received — attribution and source-specific limits — continue to apply.
Liability
Nothing in these terms excludes or limits liability that cannot be excluded or limited under the law of England and Wales, including liability for death or personal injury caused by negligence, or for fraud.
Subject to that:
- the website is provided free of charge, as-is, for general information; we are not liable for loss arising from reliance on the website itself
- for the service, we are not liable for the accuracy of third-party source records, or for decisions made on data the service relayed with its source and limitations attached
- we are not liable for indirect or consequential loss, loss of profit, or loss of business opportunity
- where your organisation has a signed agreement, any liability cap in that agreement is the cap that applies
Changes to these terms
We will post changes here and update the date at the top. Material changes are notified to contracted organisations before they take effect. Continuing to use the service after a change takes effect is acceptance of the changed terms.
Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over disputes arising from them or from use of the website or service.
